Terminology:

• Swag is products, samples, coupons, discount codes, advertisements and etc.
• Vendors are clients/business who has agreed to submit swag for said event.

Host agrees to the following in exchange swag:

• All vendors for SWAG giving must be presented only by VIP Swag.
• All shipping/delivery costs, when applicable, are the responsibility of the Host.
• Invoice will be sent via email with payment due immediately to avoid delay in shipping of swag.
• Cost is per bag of swag; if custom bags-additional fee will apply; caliber and volume of swag is not guaranteed unless it has been formally agreed upon by both parties and added to written contract. Prices subject to change.
• Contracts canceled by host within three (3) days.
• Contracts canceled may be subject to cancellation charges of, at a minimum, $75.00 to cover the return costs of supplies ordered for event.
• Should the Host fail to fulfill the terms of this contract within three (3) calendar days of the event closing, this contract will be considered breached and the host will be responsible for reimbursing the fees incurred by vendors and VIP Swag including return shipping of goods to the vendors within 10 days to avoid legal actions.
• Host agrees to electronically provide a minimum of 15 different (professional quality) photos of celebrities/VIPs/guests/hosts of the event holding the bag (brand label facing the camera) and a product included in the bag to VIP Brand Promotions within 5 business days of event closing. Social media recognition is to take place throughout the event.
• Host agrees to provide the accurate list of names and social media handles of the hosts at a minimum to VIP Brand Promotions within 1 business day of event start.
• Host agrees to provide at a minimum 15 social media mentions/shares/tags acknowledging VIP Swag and its vendors.
• Vendor participation is optional. Volume and caliber of swag is not guaranteed. Host's special request will be detailed and agreed separately if applicable.
• Host hereby agrees to indemnify and hold harmless the Vendor, VIP Swag and affiliates against any damages or claims that may arise in connection with swag contributions at the Event and vendor's activities of any kind.
• This contract shall be governed by the laws of the County of St. Charles County in the State of Missouri and any applicable Federal law. By requesting/accepting swag you agree to terms and agree to all costs accumulated with the resolution of the breached agreement.
• In the event a dispute shall arise between the parties to this contract it is hereby agreed that the dispute shall be referred to United States Arbitration and Mediation for arbitration in accordance with United States Arbitration and Mediation Rules of Arbitration. The arbitrator's decision shall be final and binding and judgment may be entered thereon. In the event a party fails to proceed with arbitration, unsuccessfully challenges the arbitrator's award, or fails to comply with arbitrator's award, the other party is entitled of costs of suit including a reasonable attorney's fee for having to compel arbitration or defend or enforce the award.

Changes in Terms of Agreement must be approved by VIP Swag. Terms of agreement are subject to change without notice.

THIS CONTRACT CONTAINS A BINDING ARBITRATION PROVISION WHICH MAY BE ENFORCED BY THE PARTIES.
